Company Profile

Theobroma Foods Private Limited (Theobroma/Company), is a Company incorporated under Companies Act,1956 having CIN U15100MH2004PTC146202, registered office at 32/33A Deonar, Opp. Metal Box Company, Govandi East 400088.

Theobroma is a Cakes and Patisseries chain and currently operates its business PAN India through almost 300+ outlets spread across Metros and Tier I cities.

CSR policy (Extract)

1. Introduction:

Theobroma recognizes its responsibility towards society and is committed to conducting its business in a socially responsible and sustainable manner.

Theobroma Core Values viz, Authentic Recipes, Baked with Love, Honestly Priced and Committed to Quality are at the foundation of its Vision and Mission. It believes that to earn a healthy profit, provide employment and expand business are not the only parameters to measure the success of the business. It aims to discharge its overall social responsibilities where it operates.

2. Governance & CSR Committee:

The CSR Policy is approved by Board of Directors in its meeting held on 15th December 2023 & revised on 5th March 2026

The Board of Directors have constituted a CSR committee of Directors in its meeting held on 19th December 2025 consisting of,

  • Mr. Rishi Gour, CEO & Whole Time Director

  • Mr. Ajay Kaul, Director
  • Chief Human Resources officer (CHRO)
  • Chief Financial Officer (CFO)

3. Objectives:

o The primary objectives of CSR policy are:

  • To contribute to wellbeing and sustainable development of society.
  • To undertake projects that have positive impact on the community where Theobroma operates.
  • To comply with statutory requirements of Companies Act, 2013 and rules related to CSR.

4. Key Areas for CSR Activities:

Theobroma will focus its CSR initiatives utilizing the Budgeted CSR Expenditure in following areas as per Schedule VII of the Companies Act 2013.

i. Health Care and Sanitation
ii. Education
iii. Gender equality
iv. Environment:
v. Protection and Promotion of Art, Culture Heritage and Handicrafts
vi. Benefit for Armed forces veterans, War widows or paramilitary forces
vii. Promoting SPORTS
viii. Contribution to PM Relief fund
ix. Research and Development
x. Rural Development Projects
xi. Slum Area Development
xii. Disaster Management

5. Guiding Principles:

Theobroma prefers to undertake CSR activities in and around its Central Kitchens.
Theobroma may spend CSR amount directly or through implementing agency registered under Companies Act, 2013.

6. Review & Amendments:

This CSR Policy will be reviewed periodically to ensure its effectiveness and relevance. Any amendments to this policy will be approved by the Board of Directors

7. Monitoring & Reporting:

i. CSR Committee shall review CSR proposals at least half yearly.
ii. CFO/ CHRO or Company Secretary shall maintain CSR Committee meeting minutes.
iii. CFO/ CHRO/ Company Secretary shall prepare an annual CSR report on CSR activities and disclose it on Company’s official website and in the Directors Report for every financial year.

8. Review & Amendments:

This CSR Policy will be reviewed periodically to ensure its effectiveness and relevance. Any amendments to this policy will be approved by the Board of Directors.

CSR Projects approved by the Board

❖ For Financial year 2025-26:

(i) Food Industry Capacity & Skill Initiative: (Noida)

Organized a skill development program for 100 women from underserved communities through training in home-based baking, business skills.

(ii) HelpAge India: (Noida)

Supported 150 cataract surgeries with intraocular lens implants and organized five eye check-up and spectacle distribution camps.

(iii) Shree Ganesh Education Academy (Navi Mumbai):

Provided CSR funds for establishment of fully equipped chemistry laboratory at Shree Ganesh Education Academy.

(iv)Y.R Gaitonde Medical, Educational and Research Foundation (Bangalore):

Provided Digital Learning Lab, arranged community meals & conducted baking and food safety workshop for underserved youth and women.

❖ For the financial year 2024-25:

(i) Food & Hunger Eradication - Community kitchen at Shree Sai Healing Trust, Bangalore.

(ii) Drinking Water - Vayujal Atmospheric Water Generator, Ahmedabad (ICCW).

(iii) Hygiene & Sanitation - Waste collection vehicles, Hyderabad.

(iv) Environment - Suposhan Agro plantation, Greater Noida (Jijiwisha Society).

(v) Education - School lab renovation, Ratnagiri (Sadguru Education Society).

(vi) Education Infrastructure - Washroom renovation & computer lab equipment, Ahmedabad.

(vii)Education Infrastructure - School rejuvenation program, Ahmedabad (Akshay Patra Foundation).

❖ For the financial year 2023-24:

(i) Army Welfare CSR Fund (New Delhi): Contribution to healthcare of Army Veterans & War widows

(ii) Aashirvad Sevashram, Sarjapur Orphanage (Bangalore): UPS installation to address power cuts, arranged special lunch, fun activities, and uniforms for children.
